Biographies for 2012 AGM Director Nominations

MONIQUE CARTWRIGHT

Monique Cartwright has been practicing law since 1996. She started her career as an Associate in the corporate banking department of Shearn, Delamore & Co, one of the largest law firms in Malaysia. She moved back to The Bahamas in early 2001 and immediately thereafter became a Senior Associate in the offshore department of Graham, Thompson & Co. In 2004 she became a Partner in the law firm of King & Co., located in Sandyport Olde Town.

Monique has worked principally in the areas of property, property development, corporate, commercial, shipping, investment fund, banking and securities law.

Monique holds a Bachelor of Arts degree from Tulane University (USA), a Bachelor of Laws degree from the University of Bristol (England) and a Master of Laws degree from the London School of Economics and Political Science (England). Monique has been a member of both the English Bar and The Bahamas Bar since 1994 and the Malaysian Bar since 1998.

 

EDWARD GARDNER

Edward Gardner has been a resident of Sandyport since 2001 and a Sandyport Homeowners Association Director since 2010. His professional business experience has primarily been involved in the Wines & Spirits industry in the United States and the Bahamas along with a brief period managing a cargo transportation company here in the Bahamas called Crowley Liner Services. Presently he is the Vice President of Retail and Purchasing for Bristol Wines & Spirits. He has a Bachelors of Science Degree from Florida State University.

He and his family truly enjoy the Sandyport community. His three children, Alexandra 12, Ted 11 and Emilia 8, attend the Tambearly School and his wife, Paula, is a homemaker. He has been active in the community organizing the shipment of the playground equipment for the original playground free of charge via Crowley Liner Services. He played a role as a committee member on the original Sandyport Homeowners Association board by assisting management with the purchasing and logistics of the materials to landscape the entrance of Sandyport at a considerable cost savings. Appointed to the Sandyport Homeowners Board since 2010, he has been active in assisting management and attends all Directors meetings. He is also a supporter and contributor to the Sandyport Social Committee that organized the October Social and the 1st Annual Sandyport Christmas Tree Lighting Party benefitting Sandyport Children and fundraiser for charity. Along with his involvement in all of these activities he is also a Junior Baseball League of Nassau little league coach and has coached many Sandyport children over the past 6 years. Sandyport continues to be a great location to live and raise a family. Edward is committed to improving the Sandyport community and our investments as homeowners.

 

MARK HOLCOMBE

Mr. Holcombe has been a member of the elected Board of Directors and Treasurer of Sandyport Homeowners Association for the last two years and has been resident of Sandyport since 2003.  During this period, the HOA has increased its reserves, reduced the provision for bad debts, improved cash flow and delivered on budget.  Mr. Holcombe has over 22 years of banking and corporate finance experience having completed over US$12 billion of financing and advisory transactions.  He has significant experience in M&A advisory, and public and private debt and equity financings. Currently, Mr. Holcombe is a Senior Advisor to Providence Advisors Limited, a  financial services firm based in the Bahamas and Managing Partner of Stirling Partners (Bahamas) Ltd., a Bahamas financial advisory firm.   Formerly, he was Managing Director and Head of Asset Management for Madison Williams Holdings, LLC, and Head of Corporate Development/Private Equity of GEM Global Equities Management S.A.  He has also worked as an senior investment banker at Global Hunter Securities, Donaldson, Lufkin and Jenrette, Gleacher NatWest/NatWest Markets, and ING Capital.  Also, Mr. Holcombe acted as CEO, President and CFO of a public U.S. company which he was hired to restructure.  Locally, Mr. Holcombe is the co-founder of MS Corporate Ltd., a Nassau based private-equity firm focused on Bahamian investments in start-up companies and the lower middle-market. Mr. Holcombe has been a Board Director of 10 private and public companies, and, Treasurer and Director of two other Homeowner Associations in New York and Florida. Mr. Holcombe holds a B.A. from Colgate University and graduated from the Chemical Banking Corporation Global Management Training Program in New York City. Furthermore, Mr. Holcombe is involved with the Alumni Admissions Program and Maroon Mentor Program at Colgate University.  Also, he is the proud coach of the Junior League Baseball Nassau Blue Claws and Cubs teams.   The Holcombe family owns two homes in Sandyport.  Mr. Holcombe is a permanent resident of the Bahamas, married to a Bahamian citizen, Tara Klonaris, and has 2 children.

 

BRUCE KNOWLES

Born: May 22, 1957

Retired partner from Deloitte & Touche after approx.30 years in the accounting profession.

 

 

KIM LINES

Kim was born in Cape Town, South Africa and has travelled extensively throughout the world.  She has worked and lived in Zanzibar, England,  Europe, Australia, Canada and the Cayman Islands.  Kim has been involved with a number of projects within the community, is a regular volunteer at the Humane Society and Baark and serves on the Sandyport Social Committee.  She is married with two young boys and has been living in Sandyport for 5 years.

 

 

CLIVE MOORE

DOB: 28th December 1944
Nationality: British
Status: Married, Permanent Resident of the Commonwealth of the Bahamas
Owner: 131 Sandyport Drive, Sandyport, Nassau

Background: Has lived in Nassau since 1998 and for the period Jan 1998 – Dec 2003 was CEO of United European Bank and Trust Ltd ( part of BNP Paribas group). 2004 to date Managing Director, Octogone Fund Management Ltd.

 

 

MICHAEL V ROBERTS

Michael V. Roberts is the classic American entrepreneur. Born to middle class hard working parents, educated in the public schools, he worked his way through college and law school to become a successful businessmen. Throughout his rise in business, Mr. Roberts maintained a strong commitment to giving back to the community of which he came. Mr Roberts is a permanent resident of the Bahamas. He first invested in Sandyport in 1998 where he built and lived in one of the two first build homes on Water Colour Cay. He and his brother are now the largest property owners in the residential gated community of Sandyport. Mr. Roberts’ broad range of professional knowledge and experience developed as a business owner and encompasses the application of innovative financing strategies for large public projects, public-private sector development negotiation strategies, and successful management techniques for urban commercial properties. His leadership in the creation of innovative strategies for financing of redevelopment projects. In the decades that followed, Mr. Roberts used his extraordinary and creative leadership abilities to build a business empire that encompasses television and radio broadcasting, real estate development, plus hotel ownership and management. Mr. Roberts received his Juris Doctorate degree from St. Louis University in 1974. Prior to graduation from law school, the International Institute of Human Rights, Strasbourg, France (1973); and The Hague, Academy of International Law, The Hague, Holland (1972). Mr. Roberts holds three Honorary Doctorates and is the author the best sellers book Action Has No Season.

ROBERT “SANDY” SANDS

Robert “Sandy” Sands started his career at the Nassau Beach Hotel in 1971. He subsequently spent terms as General Manager at various hotels in the Caribbean and The Bahamas (Guyana Pegasus, Jamaica Pegasus, Carnival’s Crystal Palace Casino, Crystal Palace Riviera Tower (Formerly Cable Beach Hotel) and worked for three-years as Vice President & General Manager of the Nassau Wyndham Resort & Crystal Palace Casino before returning to the Nassau Beach Hotel in 2004. He holds a Bachelor of Applied Arts Degree in Hospitality Management and Tourism Administration from Ryerson University, Toronto, Canada.

In 1993, he received the coveted Cacique “Hotelier of the Year” Award for his outstanding contributions to the development of tourism in The Bahamas. In 1997, he was awarded the Bahamas Silver Jubilee Medal for Tourism.

In May 2005, Baha Mar Ltd. announced the appointment of Robert Sands to Senior Vice President of Administration and External Relations. In this role, he assumed responsibility for the development and execution of Baha Mar’s government relations, corporate outreach initiatives, all government and external affairs, industrial relations and human capital programs.

Mr. Sands, 58, is the Honorary Consul General to Japan, President of The Bahamas Hotel Employer’s Association; the Past President and a Director of The Bahamas Hotel Association; Trustee both of The Hotel Industry Management and Allied Pension Funds; Past Chairman and Director of The Nassau/Cable Beach/Paradise Island Promotion Board; Member of the Advisory Board of the Salvation Army; Member of the Vestry, St. Christopher’s Anglican Church; Director, Elizabeth Estates Children’s Home; Member, Vice Chairman and Director of AML Foods Ltd. and Director of Providence Advisors Ltd.; He also held previous Board Directorships with the Bahamas International Security Exchange (BISX), Bahamasair Director of National Insurance Board Director of Paradise Fisheries and The Bank of The Bahamas.

He is married to former Senator The Honourable Michelle Pindling-Sands. He has five children; Delano, Omar, Ashley, Lauren and Holly and one grandchild.

 

STANJA SEIVRIGHT

Stanja Seivright has managed campaigns and strategic advertising programs for some of the world’s largest multinational organizations. She started off in advertising working for Grey Jamaica (Grimax Advertising Ltd.) leading account teams in the region on the Procter & Gamble, American Airlines, and McDonald’s businesses.

After Grey, Stanja spent two years at MTV Networks in New York as Advertising Manager for Nickelodeon where she managed and executed Nickelodeon’s biggest brand initiative to date “Nick Nation”. She was later appointed task force leader for the network’s re-launch of “Nick at Nite” and the formal presentation to the New York media community.

Stanja’s bilingual capabilities then took her to lead overall strategy and creative development for multicultural advertising programs on the Verizon Wireless and Johnson & Johnson accounts on behalf of Inter Public Group’s multicultural agency in New York. While there, she was promoted to VP, Group Account Director-Hispanic Initiatives.

After leaving New York she headed to Miami to lead strategic development and execution of Hispanic customer acquisition and retention programs on the Bellsouth and Nestle accounts for French advertising group-Publicis. After marriage and two children, she relocated with her family to The Bahamas following her husband’s career with the hotel chain Sandals.

Fluent in French and Spanish, Stanja holds a Bachelor of Arts degree in French with a minor in Spanish and International Relations from Regis College in Massachusetts. Stanja has taught French at Tambearly School and is the local volunteer coordinator for the annual Bahamas Trike-A-Thon event for St. Jude Children’s Research Hospital, held for the past 2 years at Sandyport.

2012 Director’s Report to the Shareholders

SANDYPORT HOMEOWNERS ASSOCIATION LIMITED

DIRECTOR’S REPORT TO THE SHAREHOLDERS

For the period January 20th, 2012 to December 2nd, 2012

Less than one year ago, the Board committed to continue it’s efforts to rejuvenate, beautify and further secure our community. Board decisions favor a better quality of life and fair treatment for all residents whilst preserving or enhancing shareholder value.

The Board thanks the management team for continuing to fulfill our objectives and doing so without any debt, fee increases or special assessments.

In the last year we have:

1. Reduced the bad debt provision to $40,000 (2011 = $80,000).
2. Reduced outstanding gross receivables by 15.8% (Q3 comparatives) against year on year revenue increase of 3.3%.
3. Landscaped the following areas:
– Maintenance compound
– Roberts Isle recreation area
– Opposite Sandyport Drive from 79 to 120
– Sandyport Drive from Kingfisher to Watercolor Cay
– Sandyport Drive near Super Value
– Boat ramp
– Opposite Sandyport Drive 12
4. Replaced 100 garbage cans with rolling cans and added 15 ornate steel garbage receptacles.
5. Replaced all poolside furniture.
6. Extended curbing in various locations:
– Main entrance
– Service entrance
– Sandyport Drive between Kingfisher Island and Roberts Isle
– Maintenance compound entrance
– Sandyport Drive 79 to 120
7. Replaced the roofs on security and utility buildings.
8. Painted all common areas including fences, bridges and carports.
9. Enhanced walkways in the following locations:
– Governor’s Cay
– Roberts Isle recreation area
– Sandyport Drive
10. Replaced the picket fences around the transformers and utilities.
11. Renovated the boat ramp.
12. Extended parking allowance near Sand Dollar Island marina.
13. Updated the canal entrance wall and fence.
14. Carried out road repairs.
15. Added drains in several locations.
16. Performed all necessary clean up and repairs following Hurricane Sandy including canal dredging.
17. Implemented a monthly fogging schedule to prevent Dengue fever during the months of May through October.
18. Upgraded incoming worker’s security with a card identification system.
19. Upgraded security uniforms.
20. Upgraded the security vehicle fleet including all weather patrol and golf carts.
21. Replaced the backup generator for the security control room.
22. Installed an automatic entry system at the maintenance compound.
23. Upgraded the CCTV system.
24. Upgraded wireless networks at key locations.
25. Engaged a firm of civil engineers to evaluate the wastewater system and provide recommendations for repairs and expansion.
26. Installed a magnetic flowmeter at the wastewater treatment plant.
27. Performed various necessary upgrades to the wastewater collection system including pumps, runtime meters and switches.
28. Implemented on line billing.
29. Upgraded the on line customer support portal.
30. Relocated the management office.

We believe that we have delivered on our commitments in spite of the many challenges that have been presented throughout the year. I would like to thank my fellow Directors for their active participation and ongoing support throughout the year 2012.

Deadline for submission of proxies

The deadline for the submission of proxy forms for the 2012 Annual General Meeting expires by close of business today (Article 46). Therefore any proxy forms that are received after 4pm today will be invalid.

We would like to remind all members attending the AGM in person to be in possession of their share certificate and ensure that their account is in good standing in order to be eligible to vote (Article 43). Ballot slips will be issued only to those Members that are eligible to vote.

We have share certificates prepared but not yet collected by various Members. If you are Member of the Association that is not in possession of a share certificate, please email shares@sandyportmanagement.com with your Sandyport address information to check on it’s status.

It should be noted that share certificates may fall into one the following categories:

Pending – we are awaiting owner verification (e.g. copy of conveyance)
Prepared – the certificate is awaiting collection
Issued – the certificate has been issued to the owner of record

AGENDA

 To: The Shareholders and the Auditors

The 2012 Annual General Meeting  will be held on Sunday December 2nd, 2012 commencing at 3:00pm at Tambearly School Hall, adjacent to Phase 5 of Sandyport. Entrance to Tambearly will be through the Sandyport entrance to the School at the Eastern end of the main road, in Phase 5.

The following items of business will be conducted:

  1. The Chairman will call the meeting to order.
  2. It will be determined whether the requirements for a quorum have been satisfied.
  3. To review and adopt the minutes of the last Annual General Meeting of the Company.
  4. To elect Four (4) Shareholders to serve as Directors of the Company for a period of  Two (2) years (Article no. 25).
  5. To review the audited Financial Statements for the financial year ending December 31st, 2011.
  6. To consider and approve the Budget for the financial year 2013.
  7. To receive, consider and adopt the report of the Directors.
  8. To approve of the appointment of auditors for the ensuing year and to authorize the Directors to fix the remuneration of the Auditors.

Notice of the Annual General Meeting 2012

To: The shareholders of Sandyport Homeowners Association Limited 

Take Notice that the Annual General Meeting of the Company will take place in the Auditorium of the Tambearly School (adjacent to Sandyport) on
Sunday December 2nd, 2012 commencing at 3:00pm.

Forms of Proxy are hereby circulated to shareholders for those who wish to have someone else represent them or to cast their vote. On completion of the form of proxy, same should also be sent to the Secretary via the Office on or before Friday the 16th day of November A.D. 2012. Where shares are held by companies, the company must send in a form of proxy designating an individual to cast the vote on its behalf.

Shareholders are requested to park along the main road in Sandyport Phase Five and to walk through the gate into the Tambearly premises.

Shareholders who are joint owners or owners as tenants-in-common must send in to the Company Secretary (in care of the office) in writing the name of the shareholder who they have authorised to cast the vote on behalf of the said joint owners or tenants-in-common.

Biographies for 2011 AGM Director Nominations

George Allen

Born and raised in the Bahamas, George moved into the Sandyport community in 1990 when the development began. George owns two properties in Sandyport and another in Cable Beach. He resides in one of his Sandyport properties and rents the other properties. As a result, he has a very strong understanding of property management. Having worked as a commercial pilot for the last 4 years, he understands the importance of crew resource management (i.e. working on a team and maximizing resources). In March of 2012, George will graduate with a Bachelor’s Degree in Aviation from Everglades University. During his free time he enjoys scuba diving and travelling.

 

Constantinos Berdanis

Mr. Constantinos Berdanis started his Development and construction company in 1995. The community which he chose was Sandyport because he saw great potential and at that time Sandyport was quite undeveloped. Mr. Berdanis first project was a home on Happy Lane. Since then he has built over thirty homes and townhouses in Sandyport. He developed Palms West a gated community in the cable beach area from infrastructure to completion. Mr. Berdanis has also had international experience developing spec. homes and commercial malls in Florida. His knowledge and expertise would be a great asset in assisting the committee in reaching their goals. Mr. Berdanis is married with three boys and has lived in Sandyport for many years.

 

Kenneth Cartwright

Has been a member of the Board of Directors of Sandyport Homeowners Association since the hand-over from Sandyport Development to the Association over two (2) years ago. He he has been actively involved in the Sadyport community since he moved to Sandyport in 2004. Mr. Cartwright has considerable experience in developments having developed Brigadoon Estates and New Moon Estates, both on the Eastern Road. He is a partner in Exuma View, a 168 acre development in Little Exuma. Mr. Cartwright was the founder and Managing Director of K. C. New Car Sales Ltd. From 1969 to 2008, when he retired.

 

Natalia Dwornik

Natalia Dwornik moved to Sandyport in 2006 where she lives with her husband and two children aged 9 and 7 in their property on Sandyport Drive. She is 48 years old and originally from the UK, having previously lived in Thailand, St Lucia and Barbados. Her husband Patrick, is originally from the US. For the past 5 years Natalia has been working on the Bahamar Development at Cable Beach as Head of Procurement, where her main focus was the drafting, negotiation and execution of the US$2billion construction contract. Other responsibilities included the procurement of local contractors and suppliers. Natalia holds a BSC in Quantity Surveying and is an associate member of the Royal Institute of Chartered Surveyors. Her aspiration is to ensure that Sandyport continues to be a safe, secure and beautiful place to live.

 

Arinthia S. Komolafe

Mrs. Arinthia S. Komolafe is a Corporate & Commercial Attorney-at-law called to the bar of England, Wales and The Bahamas. Prior to commencing her private practise, Komolafe Law Chambers, Mrs. Komolafe spent several years working with a local private law firm concentrating on the disciplines of the law of Trusts, Company, Real Property, Contract and Commercial. Mrs. Komolafe also worked in both commercial and private banking for several years and has extensive experience in corporate management and governance. She has worked for banks whose head office are located in Switzerland, Britain and Canada. Further, she headed the corporate department of a Swiss private bank and was responsible for the administration and management of private limited companies, international companies and estate planning and wealth management vehicles. She is a member of the Society of Trust & Estate Practitioners and has worked on several working groups of the Bahamas Financial Services Board. In addition, Mrs. Komolafe is well acquainted with laws and regulations impacting financial services, real estate and property development. She is married to Emmanuel Komolafe and together they have three children, Morgan, Alexandria and Joshua.

 

Anthony Miaoulis

Married with 2 children. Lived in Sandyport for 12 years and presently live on Kingfisher Island. Realtor/Developer for Mosko Realty and Pineapple House Development.

 

Richard Pears

• I am a Senior Fellow of the Institute of Chartered Accountants

• I have been, during my career Managing Director of various well known Public Companies

• I am currently Chairman of two London Property Companies managing 49 Residences, one of which being considered one of the best blocks in Chelsea

• I am also currently Chairman of the Advisory Board of a Company with property developments in Chile, Brazil, Argentina, Belize and Bulgaria

• I am a Partner in Merchant Venture Investments which specialises in Venture Capital projects mainly on the European mainland

• I own a house at 5 Poinciana Cay and a plot at 10 Royal Palm Cay

• I am in good standing with the Association

• I have overseas Property investments not only in The Bahamas but also in St Kitts, Belize, Argentina, Brazil and Switzerland

• I own various properties in London, Gloucestershire and Worcestershire

To:  The Shareholders of Sandyport  Homeowners Association Limited

Annual General Meeting of the above company to be held on

Friday January 20th, 2012 commencing at 5.00p.m.

Take Notice that at the Annual General Meeting a report from the Nominations Committee of the Board of Directors advises that the following shareholders have indicated their willingness to be nominated to serve as Directors if elected by the members:

It has been unanimously agreed that a request for further nominations from the shareholders at large be submitted by the 19th of January, 2012 which is one (1) day prior to the Annual General Meeting to be held on Friday January 20th, 2012.   The vote is to be taken at the Annual General Meeting.

The Members shall elect Three (3) directors for a term of Two (2) years.

Year ended 2011 message from the Board of Directors

Happy New Year to all Owners & Residents

One year ago, the Board committed to rejuvenating, beautifying and further securing our community. The year was busy and productive for the Homeowners Association as we worked to satisfy those commitments.

The Board wishes to thank Simon Cooper and his team for their outstanding efforts in managing to complete all work on time and within budget.

It should be noted that all upgrades and repairs have been done without debt, increase in fees, or special assessments.

In the last year we have:

  • Upgraded CCTV coverage of the community.
  • Improved entry systems at both entrances.
  • Upgraded the fleet of golf carts for security and maintenance departments.
  • Upgraded the guard house, enhanced the parking spots and landscaping near Tambearly School entrance.
  • Provided certified training for all security officers and issued standard uniforms.
  • Installed an electronic guard tour system to monitor frequency and depth of active patrols.
  • Implemented a first response system for fire emergencies with the support of the Nassau Fire Department: Staff perform routine drills using our own fire pump so they are able to effectively deal with fire emergencies until the Fire Department arrives.
  • Implemented a painting schedule for all homes to be painted by 2013, and the schedule is on target.
  • Renovated all carports on common areas.
  • Resurfaced and painted the walls adjacent to Super Value.
  • Upgraded the garbage collection service
  • Upgraded maintenance compound with storage, offices and nursery facilities.
  • Performed numerous long overdue upgrades to the wastewater management system mitigating many bio-hazardous risks.
  • Vacated the offices formerly provided by the Developer and moved into upgraded facilities.
  • Renewed the front entrance and parking area.
  • Refurbished irrigation systems for all landscaping.
  • Rebuilt and landscaped docks at Sand Dollar Island.
  • Renewed curbs and landscaping in all circles.
  • Upgraded the signage across the estate for a consistent theme.
  • Generally enhanced drivability and aesthetics of the community.
  • Replaced playground equipment and upgraded existing facilities.
  • Upgraded the viewing stations and boardwalk at the fishing pond area near Coral  Beach.
  • Renovated the gazebo and deck at the pool located by Coral Beach.
  • Started the upgrade to fencing.
  • Carried out the clean up and repairs following Hurricane Irene in August.

We are pleased to have been able to deliver on last year’s commitments and we plan to continue making improvements to our community through 2012.
