2014 AGM Final Nominations

The Annual General Meeting will take place at the Gazebo located in Phase 5 (adjacent to the pond) on Friday March 28th, 2014. Registration will commence at 5:00pm and the meeting will be called to order at 5:30pm. 

Pursuant to the submission deadline extension notice dated March 20th, 2014 nominations for the 2014 vacancies on the Board of Directors are now closed (Article no. 52) and the deadline for the submission of proxy forms has passed (Article no. 46).

 

DIRECTOR NOMINATIONS:

Constantinos Berdanis

Mr. Constantinos J Berdanis started his Development and Construction Company in 1995. The community which he chose was Sandyport because he saw great potential and at the time Sandyport was quite undeveloped. Mr. Berdanis first project was a home on Happylane. Since then he has built over thirty homes and townhouses in Sandyport. He developed Palms West a gated community in the Cable Beach area from infrastructure to completion. Mr. Berdanis lived in Florida for a few years and acquired international experience developing spec. homes and commercial malls. His knowledge and expertise would be a great asset in assisting the committee in reaching their goals. Mr. Berdanis is married with three boys and has lived in Sandyport for many years.

Dr. Marcella Elliott-Ferguson

Photo of Dr. Marcella Elliott-FergusonI am a Bahamian whose parents hail from Andros and Exuma. My husband, Kendal Ferguson, is also a Bahamian hailing from Exuma. My husband is the Chief Superintendent at the Ministry of Health. We have two adult sons, one daughter-in-law and one granddaughter.

I am an associate professor of Mathematics Education at The College of The Bahamas. Currently, I am serving as the Interim Registrar of the institution, assisting in the transition to the University of The Bahamas. I have been employed at COB for just over 27 years. Prior to this position, I have taught mathematics and trained persons who were in training to be mathematics teachers. I have represented COB at several conferences and I have had two faculty exchanges at Dalhousie University in Nova Scotia and Rhodes University in South Africa.

I have also served as the Mathematics Consultant to the Catholic Board of Education.

I have earned degrees from COB, McGill University in Montreal and University of Miami. I also have numerous years of experience at COB, IBM Bahamas Ltd. and other companies where I had the opportunity to be a consultant.

I am fairly fluent in French, enjoy swimming, travelling, reading and quilting.

I am a volunteer with the Bahamas Red Cross Society serving for more than 10 years. I am involved with Disaster Planning and also assist in the delivery of some training initiatives.

Anthony Miaoulis

Anthony MiaoulisMarried with 2 children. Lived in Sandyport for 12 years and presently live on Kingfisher Island. Realtor/Developer for Mosko Realty and Pineapple House Development.

 

 

Michele Rassin-Moodie

Rassin-MoodieMichele Rassin-Moodie has worked in the United States as well as the Bahamas, and gained extensive insight and experience in business management. Ms. Rassin is currently Vice President at Ports International, a local medical supply company, and was previously Vice President of Operations at Doctors Hospital where she contributed greatly to the success of the Hospital.

Mrs. Moodie studied at the University of Miami where she acquired her Masters Degree in International Business, graduating with honors. Besides having a very strong business background, she exudes generosity and willingness to support her community.  She has performed a great deal of community service over the years as a member of the Rotary Club of East Nassau and the Doctors Hospital Dr. Meyer Rassin Foundation.

She is a currently a Director of the Bahamas Breast Cancer Initiative, Director of the Doctors Hospital Dr. Meyer Rassin Foundation, past President of the Rotary Club of East Nassau, and past Director for the Bahamas Chamber of Commerce.

She is presently a member of the American College of Healthcare Executives (ACHE), member of the American Hospital Association (AHA), and a member of the American Society of Strategic Marketing & Development (SHSMD). Mrs. Moodie uses her keen business insight and experience to succeed in any business venture with expertise in Marketing, Healthcare, Strategic Planning, Operations and Business Administration.

Michele Rassin-Moodie is long time resident of Beachlane, Sandyport and is married with children.

I work as Chairman and Director for several High-Tech and Venture-Capital Companies.

My daughter is a student at St. Andrews International School.

As a boater and fisherman I enjoy living here and like to help to make the Sandyport Community a beautiful and safe place to live for Residents and their Families.

2014 AGM – Submission deadline extension

The Board has determined that the deadline for the submission of proxy forms and Director nominations is to be extended until 4:00pm on Tuesday March 25th, 2014.

The Annual General Meeting will take place at the Gazebo located in Phase 5 (adjacent to the pond) on Friday March 28th, 2014. Registration commences at 5:00pm and the meeting will be called to order at 5:30pm.

Nominations to serve on the Board of Directors should be made by email to nominees@sandyportmanagement.com and include a short biography together with a photograph.

Call for Nominees for the Board of Directors

The AGM is taking place on March 28, 2014 and we are seeking nominees to serve on the Board of Directors. In accordance with Article 25, we require three Shareholders to serve as Directors for a period of two years. All nominees must be current members of the Sandyport Homeowners Association and in good standing.

Nominations should be made by email to nominees@sandyportmanagement.com and include a short biography together with a photograph.

Notice of the Annual General Meeting 2014

2014 AGM

To: The shareholders of
Sandyport Homeowners Association Limited

            Take Notice that the Annual General Meeting of the Company will take place
at the Gazebo located in Phase 5 (adjacent to the pond) on
Friday March, 28th 2014 commencing at 5:00pm.

Forms of Proxy are hereby circulated to shareholders for those who wish to have someone else represent them or to cast their vote. On completion of the form of proxy, same should also be sent to the Secretary via the Office on or before Friday the 14th day of March A.D. 2014. Where shares are held by companies, the company must send in a form of proxy designating an individual to cast the vote on its behalf.

Shareholders who are joint owners or owners as tenants-in-common must send in to the Company Secretary (in care of the office) in writing the name of the shareholder who they have authorised to cast the vote on behalf of the said joint owners or tenants – in –common.

Agenda

  1. The Chairman will call the meeting to order.
  2. It will be determined whether the requirements for a quorum have been satisfied.
  3. To review and adopt the minutes of the last Annual General Meeting of the Company.
  4. To elect Three (3) Shareholders to serve as Directors of the Company for a period of  Two (2) years (Article no. 25).
  5. To review the audited Financial Statements for the financial year ending December 31st, 2013.
  6. To consider and approve the Budget for the financial year 2014.
  7. To receive, consider and adopt the report of the Directors.
  8. To approve of the appointment of auditors for the ensuing year and to authorize the Directors to fix the remuneration of the Auditors.

 


Notes

  1. Any shareholder entitled to attend and vote at the Annual General Meeting of the Company shall be entitled to appoint a proxy to attend and vote in the members stead and the proxy holder need not be a member of the Company.
  2. Proxies shall be either left at the Sandyport Management Office in Olde Towne, or communicated to the General Manager, via email. Proxies must be received at least fourteen (14) days before the start of the meeting (Article no. 46).
  3. Election of Directors shall be by secret ballot. Every member present in person or by proxy shall have one vote for each share held.

2014 Assessment notice

December 5, 2013

Dear Owner

Following consultation with the Audit & Finance Committee at a budget meeting on December 2, 2013, the Board of Directors resolved that the Association’s Annual Assessment Fee for 2014 remain unchanged at $2.75 per square foot. This represents the 8th consecutive year without a fee increase, which has been achieved in part through a rise in revenues from newly assessed dwellings (4%), enforcement of financial penalties for transgressors and by continuing to exercise financial prudence.

The 2014 budget is attached and will be effective from January 1 however it may be subject to revision in the event that the Government introduces Value Added Tax during the year.

We are pleased to be able to extend the early payment discount of 3% for all 2014 Assessments settled in full by January 14th, 2014. The following conditions must be met in order to qualify:

  • Payment must be received in full by January 14th, 2014.
  • Any other balances associated with the account should also be clear by the deadline.
  • The 3% discount may be deducted from the 2014 Assessment only.
  • Note that Indenture Charges (applied to vacant lots) are not eligible for discount and are due on January 1, 2014 in full.

The following installment options will also be available:

  • Monthly – due on the first day of each calendar month, commencing January.
  • Quarterly – due on the first day of January, April, July and October.

You will soon receive your 2014 Assessment invoice and be able to select your payment option at that time.
