Notice of the Annual General Meeting 2020

To: The shareholders of 
Sandyport Homeowners Association Limited

            Take Notice that the Annual General Meeting of the Company will take place at the Gazebo located in Phase 5 (adjacent to the pond) on Friday March 27th, 2020 commencing at 5:30pm.

Forms of Proxy are hereby circulated to shareholders for those who wish to have someone else represent them or to cast their vote. On completion of the form of proxy, same should also be sent to the Secretary via the Office on or before Friday the 13th day of March A.D. 2020. Where shares are held by companies, the company must send in a form of proxy designating an individual to cast the vote on its behalf.

On completion of the form of proxy, same should also be sent to the Secretary via the Office on or before Friday the 13th day of March A.D. 2020. Where shares are held by companies, the company must send in a form of proxy designating an individual to cast the vote on its behalf.

Nominations to serve on the Board of Directors will be accepted until Friday March 13th, 2020. Nominations should be made by email to nominees@sandyportmanagement.com and include a short biography together with a photograph.

Shareholders who are joint owners or owners as tenants-in-common must send in to the Company Secretary (in care of the office) in writing the name of the shareholder who they have authorised to cast the vote on behalf of the said joint owners or tenants – in –common.

  3. To review and adopt the minutes of the last Annual General Meeting of the Company.
  4. To elect Three (3) Shareholders to serve as Directors of the Company for a period of Two (2) years (Article no. 25).
  5. To review the audited Financial Statements for the financial year ending December 31st, 2019.
  6. To consider and approve the Budget for the financial year 2020.
  7. To receive, consider and adopt the report of the Directors.
  8. To approve of the appointment of auditors for the ensuing year and to authorize the Directors to fix the remuneration of the Auditors.


Notes

  1. Any shareholder entitled to attend and vote at the Annual General Meeting of the Company shall be entitled to appoint a proxy to attend and vote in the members stead and the proxy holder need not be a member of the Company.
  2. Proxies shall be either left at the Sandyport Management Office in Olde Towne, or communicated to the General Manager, via email. Proxies must be received at least fourteen (14) days before the start of the meeting (Article no. 46).
  3. Election of Directors shall be by secret ballot. Every member present in person or by proxy shall have one vote for each share held.

Biographies for 2019 AGM Director Nominations

The Annual General Meeting will take place at the Gazebo located in Phase 5 (adjacent to the pond) on Friday March 29th, 2019. Registration will commence at 5:00pm and the meeting will be called to order at 5:30pm. 

Nominations for the 2019 vacancies on the Board of Directors  close March 15, 2019 (Article no. 52) and the deadline for the submission of proxy forms also closes March 15, 2019 (Article no. 46).


ROBERT SANDS                              

Robert “Sandy” Sands started his career at the Nassau Beach Hotel in 1971. He subsequently spent terms as General Manager at various hotels in the Caribbean and The Bahamas (Guyana Pegasus, Jamaica Pegasus, Carnival’s Crystal Palace Casino, Crystal Palace Riviera Tower (Formerly Cable Beach Hotel) and worked for three-years as Vice President & General Manager of the Nassau Wyndham Resort & Crystal Palace Casino before returning to the Nassau Beach Hotel in 2004. He holds a Bachelor of Applied Arts Degree in Hospitality Management and Tourism Administration from Ryerson University, Toronto, Canada.

In 1993, he received the coveted Cacique “Hotelier of the Year” Award for his outstanding contributions to the development of tourism in The Bahamas. In 1997, he was awarded the Bahamas Silver Jubilee Medal for Tourism.

In May 2005, Baha Mar Ltd. announced the appointment of Robert Sands to Senior Vice President of Administration and External Relations. In this role, he assumed responsibility for the development and execution of Baha Mar’s government relations, corporate outreach initiatives, all government and external affairs, industrial relations and human capital programs.

Mr. Sands, 64, is the Honorary Consul General to Japan, President of The Bahamas Hotel Employer’s Association; the Past President and a Director of The Bahamas Hotel Association; Trustee both of The Hotel Industry Management and Allied Pension Funds; Past Chairman and Director of The Nassau/Cable Beach/Paradise Island Promotion Board; Member of the Advisory Board of the Salvation Army; Member of the Vestry, St. Christopher’s Anglican Church; Director, Elizabeth Estates Children’s Home. Mr. Sands holds various other Directorships in The Bahamas.

He is married to former Senator The Honourable Michelle Pindling-Sands. He has five children; Delano, Omar, Ashley, Lauren and Holly and one grandchild.

Served as Sandyport Homeowners Association Chairman since December 2012.


JACQUES CARLINO     

 

Jacques Carlino is a resident of Sandyport. Jacques was born in France of Italian parents.

Jacques completed his culinary and catering studies in France but spent most his career managing and owning Michelin Stars restaurants in London including The Square in Mayfair and the Ledbury in Notting Hill. During his career in London Jacques was voted as one of the most influential people in the restaurant industry by the Financial Times and the Sunday Times.

He emigrated with his wife from London to the Bahamas in 2007. He has two children ages 9 and 11. Jacques is the owner of Blue Sail Restaurant located on the Sandyport beach and Blue Caviar catering.

Jacques has always been supportive of local charities and gives generously every year. Jacques has served on the Board of Directors of several communities in France and is familiar with the requirements for being an effective Board Member.


MARVIN STUART              

Marvin has been an Owner at Sandyport since February 2017. He is a successful local entrepreneur who has built one of the Bahamas’ most significant electrical companies. Marvin is a Phase 3 Electrical contractor who has studied at the College of the Bahamas.

Marvin was born in Freeport, Grand Bahama, and moved to Nassau in 1991. He is a member of the Nassau Chamber of Commerce and is an active supporter of local charities and community events. As an alumnus, he is also a committed supporter of the College of the Bahamas and an advocate for local education. He has three sons – Nathan, Ethan and Jonathan – who are aged 14, 9 and 7 respectively. Marvin has a great connection to the sea, and likes to spend any spare time on his boat, fishing, swimming and diving.

 

 
 

LAUREEN SINGH    

Laureen Singh, I am a Canadian Citizen and a resident of the Bahamas for 5 years now. My educational background includes Social work, family therapist and a geography high school teacher. Previously I’ve lived in Vancouver, India, London and now Bahamas…though my favorite place. I would like to nominate myself because I love living in Sandyport, I see many opportunities for our lovely community and also see this as an opportunity to meet and engage with everyone. I look forward to meeting with you all soon. 

 


COSTA BERDANIS              

Mr. Constantinos J Berdanis started his Development and Construction Company in 1995. His knowledge and expertise would be a great asset in assisting the community in reaching their goals. Mr. Berdanis is married with three boys.


GILBERT WARD            

 

Gilbert A. Ward of Lot 11 (no.1) Governor’s Cay has been a Sandyport resident and homeowner for the past 16 years and is now experiencing retirement, since the death last year of his wife Angela. He was an Attorney at Law for 48 years and was also a Director and Chairman of the Sandyport Homeowners Association Limited for the year 2010, the transition year from the ownership and control of the Association by the Developers, to the ownership and control by the home and lot owners. He, together with two others put up $30,000.00 in 2010 to create the current residential entranceway (it did not always look like that) and, as the Association in those days had no surplus funds, he donated a golf cart for the use of the security guards, when most of the other golf carts at that time were out of service due to age and constant use. In keeping with his desire for service above self, he is committed to the overall greater good of the residential community in Sandyport.


ROGER SEIVRIGHT        

Roger is the Managing Director of Unique Vacations (Bahamas) Limited (UVL).  Unique Vacations Limited is an affiliate of Unique Travel Corp., the Worldwide representative for Sandals and Beaches Resorts where Roger has been employed for 18 years.  UVL’s primary objective is to provide operational and information technology support to Sandals and Beaches Resorts.

Roger’s Primary Areas of Direction Include:

  • Information Technology
  • Online/Digital Marketing
  • Audit and Quality Assurance
  • Call center management throughout the Caribbean

EDUCATION

Roger attended primary school in Jamaica, boarding school in the United Kingdom and went to College in the United States of America.

BACKGROUND

Roger was born in Kingston, Jamaica and has lived in the USA and the UK. He has been living with his wife and daughters in Sandyport for 9 years and is a homeowner.  


CRAIG LINES                        

Mr. Craig Lines and family have been residents is Sandyport for over ten years.  Mr. Lines is President of LOM Financial (Bahamas) Limited, a Wealth Management Firm.   He currently serves as a Director on numerous Boards in addition to acting as an Adviser to many international companies.  Mr. Lines holds degrees in Management and Economics and has over twenty years experienced in corporate governance.   Previously he agreed to serve on Sandyport’s Board in 2011. 

Craig’s interests are boating and water sport related activities.  He lives with his wife, Kim and two teenage boys, Aiden & Jason on Governors Cay.

ALEXANDRA CALLENDER

I have Lived in Sandyport for three years with my husband and two children, who attend Tambearly School. I’m a project manager for the Cotswold Group (insurance) and have previously worked for Franklin Templeton Global Advisors. I have a business background, but am seeking your support to represent the interests of homeowners without any vested interests in the businesses of Sandyport or those associated with Sandyport.

I would greatly appreciate your support for my candidacy and hope to serve your residential interests.


CAMERON CAREY

Married with 2 children. Lived in Sandyport for almost 20 years.
I have been in banking for 25 years and currently run a small family office.

TANYA CAREY

Tanya Carey has been a part of the Sandyport community for 6 years. She is married to Greg Walker, has two children, Connor and Jackson and resides on Sandyport Drive.

Tanya works for KPMG, one of the leading professional services
companies in The Bahamas, as Associate Director, Marketing &
Operations. She is also the Head of Marketing & Communications for KPMG Islands Group, a regional network of KPMG member firms with more than 2,000 professionals.

She has also worked for First Asset, a Canadian investment firm in
Toronto, Ontario as Director, Marketing following graduation from
McGill University in Montreal, Quebec.

She is active in the community as a member of the Rotary Club of East Nassau, is the former President of Manta Rays Soccer Club and also serves on the Corporate Citizenship committee at KPMG.


BRUCE KNOWLES

Born: May 22, 1957
Married: Lisa (37 years)
Children: Ryan and David

Retired partner from Deloitte & Touche after approximately 30 years in the accounting profession. Currently serves on the Board as the Treasurer.

 

 


ANTHONY MIAOULIS

Married with 2 children. Lived in Sandyport for 16 years and presently live on Kingfisher Island. Realtor/Developer for Mosko Realty and Pineapple House Development.

 

 

 


MICHELE RASSIN-MOODIE

Michele Rassin-Moodie has worked in the United States as well as the Bahamas, and gained extensive insight and experience in business management. Mrs. Moodie is currently Vice President at Ports International, a local medical supply company, and was previously Vice President of Operations at Doctors Hospital where she contributed greatly to the success of the Hospital.

Mrs. Moodie studied at the University of Miami where she acquired her Masters Degree in International Business, graduating with honors. Besides having a very strong business background, she exudes generosity and willingness to support her community. She has performed a great deal of community service over the years as a Past President of the Rotary Club of East Nassau and the Doctors Hospital Dr. Meyer Rassin Foundation.

She is a currently a Director of the Sandyport Homeowners Association, Director of the Doctors Hospital Dr. Meyer Rassin Foundation, Director of the Rotary Club of East Nassau, and past Director of the Bahamas Chamber of Commerce.

She is presently a member of the American College of Healthcare Executives (ACHE), member of the American Hospital Association (AHA), and a member of the American Society of Strategic Marketing & Development (SHSMD). Mrs. Moodie uses her keen business insight and experience to succeed in any business venture with expertise in Marketing, Healthcare, Strategic Planning, Operations and Business Administration.

Michele Rassin-Moodie is long time resident of Beach Lane, Sandyport, and is married to Brian Moodie of RMS Insurance Agents and Brokers. Mrs. Moodie has served on the Board since 2014.
